1. About These Terms

These Terms of Service ("Terms") govern your access to and use of the Synapstay platform, website, and services (collectively, "Services") provided by Synapse Global Group Pty Ltd (ACN 697 845 140, ABN 79 697 845 140), a proprietary limited company registered in New South Wales, Australia ("we," "us," or "Company").

By accessing the Services, submitting a listing inquiry, or making a payment through our platform, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Nature of Our Services

Synapstay provides sublease management and coordination services as an authorized agent of original tenants of record. Specifically, we:

  • Act as the authorized representative of original tenants seeking to sublet residential properties;
  • Market properties, screen prospective subtenants, and coordinate sublease documentation;
  • Collect and disburse rent and security deposits as agent on behalf of the original tenant; and
  • Serve as an ongoing management liaison during the sublease term.

Important: Synapstay does not own, lease, or hold any independent interest in any property listed on the platform. All sublease rights derive from the original master lease. Every listed property has documented landlord written consent on file prior to listing.

3. User Eligibility

To use our Services, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into binding agreements in your jurisdiction; and
  • Provide accurate and complete information during the application process.

4. Listing and Application Process

4.1 Property Listings

All property listings on the Synapstay platform are subject to the following conditions:

  • Landlord written consent to sublease has been obtained and is on file;
  • The sublease term does not exceed the unexpired term of the master lease;
  • All material terms, including rent, deposit, and lease conditions, are accurately disclosed; and
  • A unique reference number (SYN-PROP-XXXX) is assigned to each listing for verification purposes.

4.2 Subtenant Applications

Prospective subtenants must complete our screening process, which includes identity verification, financial verification, and reference checks. Screening criteria are applied uniformly in accordance with applicable fair housing laws. We do not discriminate on the basis of race, color, national origin, religion, sex, familial status, disability, or any other characteristic protected by applicable law.

4.3 No US Credit History

Applicants without a US credit history may qualify by providing alternative documentation, including: a valid passport and I-20 or overseas employment contract; bank statements for the most recent 3–6 months; or a personal guarantee from a qualified guarantor. Details are set out in each individual listing.

5. Payments

5.1 Payment Processing

All payments are processed exclusively through Stripe. We do not accept wire transfers, cash, or peer-to-peer payment applications (such as Zelle or Venmo). By making a payment through the platform, you agree to Stripe's Terms of Service.

5.2 Security Deposits

Security deposits are collected and held in accordance with applicable state law. In New York, security deposits are limited to one month's rent pursuant to NY RPL §227-b. Deposits will be returned within the timeframe required by applicable law, less any lawful deductions documented in writing.

5.3 Management Fees

Management fees are charged to the original tenant (not the subtenant) as compensation for our coordination services. All fees are itemized in the Tri-Party Agency & Sublet Management Agreement and disclosed to all parties prior to signing. Subtenants pay rent and security deposit only.

5.4 Refunds and Disputes

Refund requests must be submitted in writing to legal@synapstay.com within 7 days of the triggering event. Payment disputes may also be raised directly with Stripe through the standard chargeback process. We will cooperate fully with any Stripe dispute investigation.

6. Disclosures to Subtenants

Prior to execution of any sublease agreement, we will provide the subtenant with:

  • Written disclosure of the existence of the master lease and the landlord's identity;
  • Confirmation that landlord written consent to sublease is on file and available for review on request;
  • A copy of the Tri-Party Agency Agreement identifying Synapstay's role as agent; and
  • Full terms of the sublease, including rent, deposit, term, and any applicable master lease conditions.

7. Compliance with Applicable Law

We operate in compliance with applicable sublease and tenancy laws, including:

  • New York: Real Property Law §226-b (subletting rights) and §227-b (security deposit limits);
  • California: Civil Code §1995.010 et seq. (transfer of lease); and
  • Federal: Fair Housing Act and applicable consumer protection regulations.

Users are responsible for ensuring their own compliance with applicable law in their jurisdiction.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Synapse Global Group Pty Ltd shall not be liable for:

  • Any act or omission of a landlord, including termination of a master lease for reasons outside our control;
  • Any breach of a master lease by an original tenant;
  • Any loss arising from circumstances fully disclosed to the relevant party prior to execution of agreements; or
  • Indirect, incidental, or consequential damages arising from use of the Services.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under the Australian Consumer Law or applicable US consumer protection law.

9. Governing Law

These Terms are governed by the laws of New South Wales, Australia. For transactions involving US properties, the governing law provisions of the applicable sublease agreement (New York or California law, as specified) also apply to the tenancy arrangement itself. Any dispute arising from these Terms shall first be referred to mediation before either party commences legal proceedings.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email to registered users at least 14 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

This Privacy Policy explains how Synapse Global Group Pty Ltd (ACN 697 845 140, ABN 79 697 845 140), trading as Synapstay ("we," "us," or "Company"), collects, uses, stores, and discloses personal information in connection with the Synapstay platform and services.

We are committed to protecting your privacy in accordance with the Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs), and, where applicable, US state privacy laws including the California Consumer Privacy Act (CCPA).

2. Information We Collect

2.1 Information You Provide

  • Identity information: Full name, date of birth, government-issued ID (passport number);
  • Contact information: Email address, phone number, current and intended address;
  • Immigration and visa documents: I-20, visa type, overseas employment contract (where applicable);
  • Financial information: Bank statements, guarantor details (we do not store full payment card numbers — these are handled by Stripe); and
  • Rental history: Prior rental references and landlord contact information.

2.2 Information Collected Automatically

  • IP address, browser type, and device information when you visit our website;
  • Pages visited, time spent, and referring URLs (via standard web analytics); and
  • Cookies and similar tracking technologies (see Section 7).

3. How We Use Your Information

We use your personal information solely for the following purposes:

  • To verify your identity and assess your eligibility as a subtenant;
  • To process your rental application and execute sublease documentation;
  • To collect and disburse rent and security deposit payments via Stripe;
  • To communicate with you regarding your application, tenancy, or inquiries;
  • To comply with applicable legal obligations; and
  • To improve our platform and services (using aggregated, anonymized data only).

We do not use your personal information for direct marketing without your explicit consent.

4. Information Sharing and Disclosure

We do not sell your personal information. We may share your information in the following limited circumstances:

  • Original tenant and landlord: Screening summaries are shared with the original tenant (and, where required, the landlord) as part of the sublease approval process;
  • Stripe: Payment information is processed by Stripe in accordance with Stripe's Privacy Policy;
  • Background check providers: Identity and reference verification may involve third-party screening providers bound by confidentiality obligations; and
  • Legal compliance: We may disclose information where required by law, court order, or regulatory authority.

5. Data Retention

We retain personal information for as long as necessary to fulfill the purposes for which it was collected, or as required by applicable law. Specifically:

  • Tenancy records are retained for a minimum of 7 years for legal and accounting purposes;
  • Unsuccessful applications are deleted within 90 days of the final decision; and
  • Payment records are retained in accordance with Stripe's data retention policies and applicable tax law.

6. Data Security

We implement reasonable technical and organizational measures to protect your personal information against unauthorized access, loss, or disclosure. These include:

  • Encrypted data transmission (HTTPS/TLS) for all platform communications;
  • Access controls limiting personal data access to authorized personnel only; and
  • Use of Stripe for all payment processing — we do not store full card details.

No data transmission over the internet is completely secure. While we take reasonable precautions, we cannot guarantee absolute security.

7. Cookies

Our website uses cookies and similar technologies to improve functionality and analyze usage. You may disable cookies through your browser settings; however, some features of the platform may not function correctly without them. We do not use cookies for targeted advertising.

8. Your Rights

Australian Users (Privacy Act 1988)

You have the right to access personal information we hold about you, request correction of inaccurate information, and lodge a complaint with the Office of the Australian Information Commissioner (OAIC) at oaic.gov.au.

California Users (CCPA)

California residents have the right to know what personal information we collect and how it is used, request deletion of personal information (subject to legal exceptions), and opt out of the sale of personal information (we do not sell personal information). 9. International Data Transfers

As an Australian company providing services in the United States, personal information may be transferred between Australia and the United States. We take reasonable steps to ensure that any such transfers comply with applicable privacy law and that your information receives adequate protection.
